SESSIONDOCK - END USER LICENSE AGREEMENT (EULA) (Desktop Versions - macOS DMG + Windows) Warner Web Development LLC Effective Date: 11/17/2025 This End User License Agreement ("Agreement") is a legal agreement between you ("User") and Warner Web Development LLC ("Developer," "we," "us," or "our") for the use of the SessionDock software application ("Software") on desktop devices. By installing, copying, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software. --- 1. License Grant We grant you a non-exclusive, non-transferable, revocable license to install and use one copy of the Software on your personal devices owned and used solely by you for your own individual use. This license is granted to a single individual. It may not be shared across multiple users or organizations. --- 2. Restrictions You may not: - Modify, decompile, reverse engineer, or disassemble the Software - Rent, lease, sell, sublicense, redistribute, or transfer the Software - Circumvent any technical protections or licensing mechanisms - Use the Software in any illegal, harmful, or unauthorized manner - Sell, share, transfer, or redistribute license keys or serial numbers All rights not expressly granted to you are reserved by Warner Web Development LLC. --- 3. Ownership The Software is licensed, not sold. All copyrights, trademarks, and intellectual property rights remain the exclusive property of Warner Web Development LLC. --- 4. Updates We may provide updates, fixes, or enhancements. These are provided at our discretion and may be subject to additional terms. --- 5. System Requirements The Software requires: - macOS 12 (Monterey) or later for Mac desktop - Windows 10 or later for Windows desktop - iOS 16 or later for mobile companion applications (subject to change) Older operating systems are not supported and the Software may not function correctly on them. You are responsible for ensuring your device meets these minimum requirements before installing or using the Software. No refunds will be provided for purchases made on incompatible systems. --- 6. Data Usage The Software may store or process local project metadata solely for functionality. We do not collect or transmit your project files, audio, or personal data except where explicitly stated within the Software. The Software does not include analytics, telemetry, or behavioral tracking. --- 7. Third-Party Services The Software may integrate with third-party cloud storage providers (such as iCloud Drive or Dropbox) if you choose to enable sync features. Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, reliability, security, or performance of third-party services. --- 8. Backup and Data Loss You are solely responsible for maintaining backups of your data, including DAW project files, session metadata, audio previews, and any other content you create or manage using the Software. We strongly recommend maintaining regular backups of all important data. Warner Web Development LLC is not responsible for any data loss, corruption, or damage that may occur through use of the Software, including but not limited to: - Hardware failures - Software bugs or errors - User error or misconfiguration - Third-party service failures - File system issues or permissions changes - Operating system updates or incompatibilities The Software provides database backup features as a convenience, but these do not replace the need for comprehensive data backup practices. --- 9. No Professional Advice The Software is provided for informational and organizational purposes only and does not constitute professional advice of any kind. You should not rely solely on the Software for critical business decisions or professional workflows without maintaining independent verification and backup systems. --- 10. Disclaimer of Warranties The Software is provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Software will: - Be error-free, uninterrupted, or secure - Meet your specific requirements or expectations - Be compatible with all hardware, software, or systems - Preserve or protect your data from loss or corruption - Function correctly with future operating system updates --- 11. Limitation of Liability To the fullest extent permitted by law, Warner Web Development LLC, its officers, directors, employees, and affiliates shall not be liable for any damages whatsoever, including but not limited to: - Loss of data, files, projects, or content - Loss of profits, revenue, or business opportunities - Business interruption or downtime - Corruption of files or databases - Any indirect, incidental, special, consequential, or punitive damages - Costs of procurement of substitute goods or services - Loss of use, loss of data, or loss of profits arising from or relating to your use or inability to use the Software This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if Warner Web Development LLC has been advised of the possibility of such damages. In no event shall our total liability to you for all damages exceed the amount you paid for the Software license, if any, or $10 USD, whichever is less. Your sole remedy for dissatisfaction with the Software is to discontinue its use and delete it from your devices. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. --- 12. Indemnification You agree to indemnify, defend, and hold harmless Warner Web Development LLC, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from: - Your use or misuse of the Software - Your violation of this Agreement - Your violation of any third-party rights - Any content you upload, store, or process using the Software --- 13. Export Compliance The Software may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and regulations in your use of the Software. --- 14. Modifications to Agreement We reserve the right to modify this Agreement at any time. Changes will be effective upon posting of the revised Agreement. Your continued use of the Software after changes are posted constitutes acceptance of the modified terms. --- 15. Entire Agreement This Agreement constitutes the entire agreement between you and Warner Web Development LLC regarding the Software and supersedes all prior or contemporaneous agreements, communications, and proposals, whether oral or written. --- 16. Severability If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the rest of this Agreement remains in full force and effect. --- 17. No Waiver Our failure to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision. --- 18. Termination This Agreement terminates automatically if you fail to comply with its terms. Upon termination, you must stop using the Software and delete all copies from your devices. Sections relating to Ownership, Disclaimer of Warranties, Limitation of Liability, and Indemnification shall survive termination. --- 19. Governing Law and Dispute Resolution This Agreement is governed by the laws of the State of New Jersey, without regard to conflict-of-law principles. Any dispute arising from this Agreement or your use of the Software shall be resolved through binding arbitration in the State of New Jersey in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action lawsuit. --- 20.
